Recommendation
That the Board of Supervisors:
1. Approve the Second Amendment to the Professional Services Agreement dated Oct. 11, 2017 between Oral Health Solutions and the Department of Health and Human Services (DHHS) - Public Health, for their work related to the Department of Health Care Services’ Dental Transformation Initiative - Local Dental Pilot Project;
2. Authorize the DHHS - Public Health Director, or designee, to sign two (2) originals of the Second Amendment; and
3. Authorize the DHHS - Public Health Director, or designee, to sign any future amendments or budget revisions directly related to the original Professional Services Agreement dated Oct. 11, 2017 upon review of County Counsel and Risk Management.

DISCUSSION:
On June 13, 2017, your Board approved the acceptance of a four-year grant awarded to DHHS - Public Health by the Department of Health Care Services (DHCS) to implement a Local Dental Pilot Project (LDPP) as part of a statewide Dental Transformation Initiative (DTI). The LDPP provides DHHS - Public Health the opportunity to improve dental health for Medi-Cal eligible children by focusing on high-value care coordination, improved access for high-risk children and utilization of performance measures to drive delivery system reform. The LDPP agreement between DHHS - Public Health and DHCS includes collaboration with several community partners, defines the community partners’ roles in the LDPP and includes detailed budgets for each community partner, broken down into calendar years. The grant period for the LDPP is July 1, 2017 through Dec. 31, 2020, with each “Year” of the grant period ending on the calendar year.
On Oct. 11, 2017, Humboldt County’s Purchasing Agent executed a Professional Services Agreement with Oral Health Solutions for the period of July 1, 2017 to Dec. 31, 2020 with an original maximum compensation amount of $43,325. This agreement funds partial staffing of a Project Director and a Junior Software Engineer, and miscellaneous related expenses in order to provide technical services and assistance to Humboldt County’s LDPP for the development, deployment and maintenance of a Data Collection System (DCS) which will be stored in the Dental Data Manager (DDM). The DCS is utilized by DHHS and community partner LDPP care coordinators funded by the DTI to record patient information, case management activities and collect data required by DHCS for performance management and evaluation.
On Oct. 4, 2018, a first amendment to the agreement with Oral Health Solutions was executed via the Humboldt County Purchasing Agent to allow for calendar Year 1 unspent funds to be included in calendar Year 2’s budget, as approved by DHCS.
Before your Board today is a second amendment for Oral Health Solutions. This second amendment allows for Year 2 unspent funds (“rollover funds”) to be included in Year 3’s budget, and addresses additional funds received from DHCS through the DTI to meet the goals and objectives of the LDPP. The additional funding received from DHCS increases Oral Health Solutions’ maximum compensation amount to $61,700. This additional funding accounts for the updated data management tools needed to manage the care coordination process for the LDPP. This improved data management server and increased services includes extensive care coordination features and functions to allow for better data reporting and managing which was not originally available. This updated data server, Dental Data Manager 2 (DDM), will replace the previous version of DDM used. The revisions to Exhibit A and Exhibit B included in this second amendment align with the responsibilities listed in the LDPP agreement with DHCS.
This second amendment comes late before your Board today due to belated receipt of approval from DHCS on Oral Health Systems’ proposed budget increase and rollover funds.
FINANCIAL IMPACT:
Approval of the second amendment with Oral Health Solutions allows for the DHCS grant’s calendar Year 2 unspent funds to be included in the calendar Year 3’s budget, and approves the increase of the agreement’s overall maximum compensation amount from $43,325 to $61,700. This will allow DHHS - Public Health to reimburse Oral Health Solutions for activities as approved by DHCS, from Fund 1175, Budget Unit 413 - Dental Health. The modification of Year 3 and part of Year 4’s budget and increase in the maximum compensation amount was anticipated and included in the county budget for fiscal year (FY) 2019-20, and will be included in the county budget process for FY 2020-21. There is no impact to the county General Fund.

ALTERNATIVES TO STAFF RECOMMENDATIONS:
Your Board could choose not to approve the amendment, however, this would not be recommended, as it would not allow DHHS - Public Health to adequately meet the program obligations of their LDPP agreement with the Department of Health Care Services, which could result in loss of grant funding.
