RECOMMENDATION(S):
Recommendation
That the Board of Supervisors:
1. Waive the requirements of the Humboldt County Nuclear-Free Ordinance with regard to the attached software license agreement with NetMotion Software, Inc.;
2. Approve, and authorize the Chair of the Board to execute, the attached software license Agreement with NetMotion Software, Inc. regarding the provision of virtual private network licenses for the period of September 2, 2020 through September 1, 2023;
3. Authorize the Information Technology Director, or a designee thereof, to execute any and all subsequent amendments to the attached software license agreement with NetMotion Software, Inc., after review and approval by County Counsel, Risk Management and the County Administrative Office - Management and Budget Team; and
4. Direct the Clerk of the Board to return one (1) fully executed original copy of the attached software license agreement with NetMotion Software Inc. to the County Administrative Office - Information Technology Division for further processing.

DISCUSSION:
Since 2015, the Humboldt County Administrative Office - Information Technology Division has utilized virtual private network (“VPN”) licenses provided by NetMotion Software, Inc. (“NetMotion”). The VPN licenses provided by NetMotion allow for easy, reliable and secure remote network access and improve telework capabilities. The majority of laptops issued by the County of Humboldt already have the Netmotion VPN application installed and employees are familiar with its use.
In response to the COVID-19 emergency, a substantial number of Humboldt County employees are required to work remotely from home or in alternate worksites, including, without limitation, the Emergency Operations Center and Joint Information Center. Retaining the VPN licenses provided by NetMotion will further aid the County of Humboldt in responding to the COVID-19 emergency and preparing for future disasters and emergencies. Secure mobility will also allow for flexibility to use multiple worksites and greatly assist in continuity of government if a site is not accessible for any reason.
The attached software license agreement with NetMotion will allow for the continued use of the NetMotion VPN application for the period of September 2, 2020 through September 1, 2023, and consolidate the County of Humboldt’s VPN licenses, including those utilized by the Department of Health and Human Services, into one (1) plan. It should be noted that the Board must waive the requirements of the Humboldt County Nuclear-Free Ordinance in order to approve the attached software license agreement, since NetMotion is unable to alter their standard software license agreement to include the County of Humboldt’s Nuclear Free Humboldt County Ordinance Compliance provision. Additionally, the attached software license agreement will be governed by, and construed in accordance with, the laws of the State of Washington due to NetMotion’s inability to alter their standard software license agreement.
Accordingly, staff recommends that the Board approve, and authorize the Chair of the Board to execute, the attached software license agreement with NetMotion regarding the provision of VPN licenses for the period of September 2, 2020 through September 1, 2023. It is also recommended that the Board authorize the Information Technology Director, or a designee thereof, to execute any and all subsequent amendments to the attached software license agreement with NetMotion, after review and approval by County Counsel, Risk Management and the County Administrative Office - Management and Budget Team, in order to avoid any unnecessary delays in the use of NetMotion’s VPN application.
FINANCIAL IMPACT:
The attached software license agreement with NetMotion has a maximum amount payable of Two Hundred Ninety-Two Thousand Seven Hundred Eighty-Nine Dollars and Eighty Cents ($292,789.80) for the period of September 2, 2020 through September 1, 2023. The first annual subscription period of the attached software license agreement with NetMotion, which totals Ninety-Seven Thousand Five Hundred Ninety-Six Dollars and Sixty Cents ($97,596.60), will be paid in full with funding received by the County of Humboldt under the CARES Act, with future subscription periods paid by departments utilizing the NetMotion application. Expenditure appropriations related to the attached software license agreement with NetMotion were included in the CARES Act relief fund supplemental budget that was approved on July 28, 2020. As a result, approval of the attached software license agreement with NetMotion will not impact the Humboldt County General Fund.
STRATEGIC FRAMEWORK:
The recommended actions support the Board of Supervisors’ Strategic Framework by providing for and maintaining infrastructure, investing in county employees and providing community appropriate levels of service.

ALTERNATIVES TO STAFF RECOMMENDATIONS:
The Board may choose not to approve the attached software license agreement with NetMotion regarding the provision of VPN licenses. However, this alternative is not recommended as it would severely impact the ability of the County of Humboldt to serve the community during public emergencies.
