RECOMMENDATION(S):
Recommendation
That the Board of Supervisors:
1. Approve the attached Software Agreement by and between the County of Humboldt and Clinisys for the amount of $95,000.00 for FY 2026-27; and
2. Authorize the Department of Health & Human Services (DHHS) - Public Health Director, or a designee thereof, to execute the attached Software Agreement by and between the County of Humboldt and Clinisys for Fiscal Year 2026-27; and
3. Authorize DHHS - Public Health Director, or a designee thereof, to execute any and all subsequent amendments, certifications, attestations, and documents directly associated with the attached Software Agreement with Clinisys after review and approval by County Counsel, Risk Management and the County Administrative Office.

DISCUSSION:
The Humboldt County DHHS - Public Health provides a variety of clinical, environmental and bioterrorism related, testing services. DHHS - Public Health relies on the Public Health LIMS, ApolloLIMS, developed by Common Cents Systems, Inc. in order to electronically organize testing requests and report results in a useful and efficient manner. The ApolloLIMS includes functionality for security, specimen processing, results processing, reporting inquiry and customer service.
DHHS - Public Health has utilized the current Public Health Laboratory Information Management System since 2009 and had a long-established relationship with Common Cents Systems, Inc. On Dec. 7, 2021, your Board approved a professional services agreement with Common Cents Systems, Inc for the provision of software maintenance services related to the Humboldt County Public Health Laboratory (HCPHL) ApolloLIMS. Subsequently, Common Cents Inc. was purchased by Clinisys, Inc on April 12, 2022, and a contract amendment was completed for the change in ownership.
Clinisys announced that ApolloLIMS has been slated to be discontinued by the vendor as of May 1, 2028. ApolloLIMS will still be fully supported until such date, but there will not be any further development or enhancements outside of what is necessary for regulatory/security purposes.
Before your Board today, is a software agreement to migrate to the CLS LIMS SaaS platform. CLS LIMS is a cloud-based SaaS platform that manages laboratory samples, associated data and workflows to improve efficiency, data accuracy and regulatory compliance. It tracks the entire sample lifecycle-from receipt to disposal while automating tasks, integrating instruments and ensuring data integrity.
Key Aspects of LIMS:
•Sample Management: Tracks and manages the entire lifecycle of samples, including unique identification, storage and chain of custody.
•Workflow Automation: Streamlines lab processes, enforces standard operating procedures (SOPs) and reduces manual human errors.
•Data Management & Integration: Stores data from laboratory instruments, centralizes information and enables data analysis.
•Compliance & Security: Supports regulatory compliance (e.g., FDA, ISO) with features like audit trails, electronic signatures and user access controls.
•Inventory & Resources: Monitors laboratory supplies, reagents and instrument calibration schedules.
The HCPHL requires a LIMS for business operations and requests approval to move forward with the conversion to the new platform to avoid barriers to standard business operations.

Narrative Explanation of Financial Impact:
Approval of the Software Agreement with Clinisys will allow DHHS - Public Health to seek reimbursement grant reimbursement for the full contract amount of $95,000.00 in Epidemiology and Laboratory Capacity (ELC) Cares Enhancing Detection (1175455-008). This funding will be used for migration of the LIMS platform.
This LIMS conversion project is funded by the ELC Grant which expires July 31, 2026. The Centers for Disease Contral and Prevention has mandated certain ELC Grant funds to be spent on health information exchange projects such as this.

ALTERNATIVES TO STAFF RECOMMENDATIONS:
The Board may decide not to approve the Software Agreement from Clinisys. However, it is not recommended as the Public Health Laboratory may not be able to replace software that removes barriers to quality healthcare
