RECOMMENDATION(S):
Recommendation
That the Board of Supervisors:
1. Approve, and authorize the Chair of the Board to execute, the attached amended and restated joint powers agreement of the Humboldt Transit Authority; and
2. Direct the Clerk of the Board to return one (1) fully executed original copy of the attached amended and restated joint powers agreement to the Department of Public Works for further processing.

DISCUSSION:
The joint exercise of powers agreement creating the Humboldt Transit Authority was originally executed on January 28, 1975, by the County of Humboldt and the Cities of Eureka, Arcata and Fortuna. Since then, there have been several amendments to the joint exercise of powers agreement, including, without limitation, the addition of the City of Trinidad, and later, the City of Rio Dell. As a result, the members of the Humboldt Transit Authority are recommending that all of the amendments made to the joint exercise of powers agreement over the last forty-five (45) years be incorporated into the attached amended and restated joint powers agreement.
The attached amended and restated joint powers agreement will make all of the following modifications to the current joint exercise of powers agreement as summarized below:
• Regular Meetings: The meeting schedule set forth in the joint exercise of powers agreement will be amended to require quarterly, rather than monthly, meetings based on a calendar set by the Humboldt Transit Authority’s Governing Board of Directors.
• Geographical Jurisdiction: The geographical service area set forth in the joint exercise of powers agreement will be expanded in order to allow Humboldt County residents to connect with the National Bus Network.
• Treasurer and Auditor: The treasurer and auditor-controller designations set forth in the joint exercise of powers agreement will be changed from the Humboldt County Treasurer and Auditor-Controller to the Humboldt Transit Authority’s Finance Manager and General Manager in order to expedite the transfer of funds for the payment of payroll and other monthly expenses.
Accordingly, the Department of Public Works recommends that the Board approve, and authorize the Chair of the Board to execute, the attached amended and restated joint powers agreement of the Humboldt Transit Authority.
FINANCIAL IMPACT:
There are minimal financial impacts related to the staff time required to prepare the attached amended and restated joint powers agreement.
STRATEGIC FRAMEWORK:
The recommended actions support the Board of Supervisors’ Strategic Framework by building interjurisdictional and regional cooperation and providing community-appropriate levels of service.

ALTERNATIVES TO STAFF RECOMMENDATIONS:
The Board may choose not to approve the attached amended and restated joint powers agreement of the Humboldt Transit Authority. However, this alternative is not recommended as it will not allow for the creation of a consolidated and updated version of the joint exercise of powers agreement.
