RECOMMENDATION(S):Recommendation
That the Board of Supervisors:
1. Approve, and authorize the Chair of the Board to execute, the attached professional services agreement with Windsor Sacramento Estates, LLC, regarding the provision of various long-term residential mental health treatment services to adults with severe and persistent mental illnesses in an amount not to exceed Five Million Ninety Thousand Dollars ($5,090,000.00) for the period of January 1, 2026 through June 30, 2029; and
2. Authorize the Department of Health and Human Services - Behavioral Health Director, or a designee thereof, to execute any and all subsequent amendments to the attached professional services agreement with Windsor Sacramento Estates, LLC, after review and approval by County Counsel, Risk Management and the County Administrative Office; and
3. Direct the Clerk of the Board to return one (1) fully executed electronic copy of the attached professional services agreement with Windsor Sacramento Estates, LLC, Inc. to the Department of Health and Human Services - Contract Unit for further processing.

DISCUSSION:
The Humboldt County Department of Health and Human Services - Behavioral Health (DHHS -Behavioral Health), in coordination with the Humboldt County Public Guardian’s Office, utilizes a variety of placement options to provide long-term mental health treatment services to mentally ill clients who require assistance in a locked and secure setting. It is important for the placement team to have a variety of treatment options because vacancies and client needs fluctuate.
Windsor Sacramento Estates, LLC, doing business as Windsor Care Center of Sacramento, operates a newly licensed mental health rehabilitation center and skilled nursing facility located in Sacramento, California. Windsor Sacramento Estates, LLC’s mental health rehabilitation center provides mental health treatment services to individuals who require twenty-four (24) hour monitoring in a locked and secure residential setting due to the severity of their mental illnesses.
DHHS - Behavioral Health clients placed at Windsor Sacramento Estates, LLC’s mental health rehabilitation center are monitored by the County of Humboldt’s multi-disciplinary Strategic Assistance for Adult Recovery Interventions Committee (SAFARI Committee). The SAFARI Committee authorizes services, determines the appropriate level of care and monitors clients’ needs in the community upon discharge. When an initial placement at Windsor Sacramento Estates, LLC’s mental health rehabilitation center occurs, transitional plans for a less restrictive placement are put into place, and reviewed monthly, in order to transition the client to community living as soon as may be appropriate. All mental health treatment services provided at Windsor Sacramento Estates, LLC’s mental health rehabilitation center are delivered with a wellness focus which includes, without limitation, concepts of recovery and resilience.
The attached professional services agreement will allow eligible DHHS - Behavioral Health clients to receive long-term residential mental health treatment services at Windsor Sacramento Estates, LLC’s mental health rehabilitation center for the period of January 1, 2026 through June 30, 2029. It should be noted that the attached professional services agreement with Windsor Sacramento Estates, LLC comes to the Board after the start date thereof due to inadvertent delays that occurred during the contract development process.
Accordingly, DHHS - Behavioral Health recommends that the Board approve, and authorize the Chair of the Board to execute, the attached professional services agreement with Windsor Sacramento Estates, LLC, regarding the provision of various long-term residential mental health treatment services to adults with severe and persistent mental illnesses for the period of January 1, 2026 through June 30, 2029. It is also recommended that the Board authorize the DHHS - Behavioral Health Director, or a designee thereof, to execute any and all future amendments to the attached professional services agreement with Windsor Sacramento Estates, LLC, after review and approval by County Counsel, Risk Management and the County Administrative Office, in order to avoid delays in the provision of needed long-term residential mental health treatment services.

The attached professional services agreement with Windsor Sacramento Estates, LLC has a maximum amount payable of Five Million Ninety Thousand Dollars ($5,090,000.00) for the Period of January 1, 2026 through June 30, 2029. In no event shall the maximum amount paid under the attached professional services agreement with Windsor Sacramento Estates, LLC exceed Seven Hundred Twenty-Two Thousand Dollars ($722,000.00) for fiscal year 2025-2026 and One Million Four Hundred Fifty-Six Thousand Dollars ($1,456,000.00) per fiscal year for fiscal years 2026-2027 through 2028-2029. However, in the event local state or federal funding is reduced or eliminated, the County of Humboldt may reduce the above-referenced maximum amount payable or terminate the attached professional services agreement with Windsor Sacramento Estates, LLC in its entirety.
Expenditure appropriations related to the attached professional services agreement with Windsor Sacramento Estates, LLC have been included in the adopted fiscal years 2025-2026 and 2026-2027 budget for DHHS - Behavioral Health Adult Services budget unit 1170-496 and will be included in future annual budget cycles. Funding for the attached professional services agreement with Windsor Sacramento Estates, LLC is available through state realignment and Mental Health Services Act revenues received by DHHS - Behavioral Health.
STAFFING IMPACT:
Approval of the attached professional services agreement with Windsor Sacramento Estates, LLC will not impact current staffing levels.

ALTERNATIVES TO STAFF RECOMMENDATIONS:
The Board may choose not to approve the attached professional services agreement with Windsor Sacramento Estates, LLC regarding the provision of various long-term residential mental health treatment services to adults with severe and persistent mental illnesses. However, this alternative is not recommended since it would require DHHS - Behavioral Health to place clients at inpatient facilities which will be more costly and may not provide the appropriate level of treatment for such clients.
