RECOMMENDATION(S):

Recommendation

That the Board of Supervisors:

1.                     Waive the requirements of the Humboldt County Nuclear-Free Ordinance with regard to the attached end-user license agreement with Absolute Software, Inc.;

2.                     Approve, and authorize the Humboldt County Purchasing Agent, or a designee thereof, to execute, the attached end-user license agreement with Absolute Software, Inc. regarding the provision of virtual private network licenses for the period of September 2, 2023 through September 1, 2024;

3.                     Authorize the Humboldt County Purchasing Agent, or a designee thereof, to execute any and all subsequent amendments to, and renewals, extensions and expansions of, the attached end-user license agreement with Absolute Software, Inc., after review and approval by County Counsel, Risk Management and the County Administrative Office - Management and Budget Team; and

4.                     Direct the Clerk of the Board to provide the County Administrative Office - Information Technology Division with one (1) fully executed certified copy of the Board Order related to this item.

DISCUSSION:

Since 2015, the Humboldt County Administrative Office, the Humboldt County Department of Health and Human Services and the Humboldt County Department of Child Support Services has utilized virtual private network (“VPN”) licenses provided by Absolute Software, Inc. (formerly known as NetMotion Software, Inc.).  The VPN licenses provided by Absolute Software, Inc. allow for easy, reliable and secure remote network access, improve telework capabilities and is vital for the mobile devices used by public safety staff.  The majority of laptops issued by the County of Humboldt already have the VPN application provided by Absolute Software, Inc. installed, and employees are familiar with its use.

 

The attached end-user license agreement with Absolute Software, Inc. will allow for the continued use of the VPN application provided thereby for the period of September 2, 2023, through September 1, 2024.  It should be noted that the Board must waive the requirements of the Humboldt County Nuclear-Free Ordinance in order to approve the attached end-user license agreement, since Absolute Software, Inc. is unable to alter their standard end-user license agreement and there is no direct conflict with the terms thereof and the intent of the Humboldt County Nuclear-Free Ordinance.  In addition, the attached end-user license agreement with Absolute Software, Inc. will be governed by, and construed in accordance with, the laws of the State of Washington due to Absolute Software, Inc’s inability to alter its standard end-user license agreement.  Finally, the attached end-user license agreement with Absolute Software, Inc. comes to the Board of Supervisors after the start date thereof due to inadvertent delays that occurred during the contract development process.

 

Accordingly, staff recommends that the Board of Supervisors approve, and authorize the Humboldt County Purchasing Agent, or a designee thereof, to execute, the attached end-user license agreement with Absolute Software, Inc. regarding the provision of virtual private network licenses for the period of September 2, 2023 through September 1, 2024.  It is also recommended that the Board authorize the Humboldt County Purchasing Agent, or a designee thereof, to execute any and all subsequent amendments to, and renewals, extensions and expansions of, the attached end-user license agreement with Absolute Software, Inc., after review and approval by County Counsel, Risk Management and the County Administrative Office - Management and Budget Team, in order to avoid any unnecessary delays in the use of the VPN application provided by Absolute Software, Inc.

The attached end-user license agreement with Absolute Software, Inc. has a maximum amount payable of One Hundred Forty-Seven Thousand Two Hundred Ten Dollars ($147,210.00) for the period of September 2, 2023 through September 1, 2024.  Expenditure appropriations related to the attached end-user license agreement with Absolute Software, Inc. have been included in the adopted fiscal year 2023-2024 budget for County Administrative Office - Information Technology Division budget unit 3550-118.  As a result, approval of the attached end-user license agreement with Absolute Software, Inc. will not impact the Humboldt County General fund.

 

STAFFING IMPACT:

Approval of the attached end-user license agreement with Absolute Software, Inc. will not impact current staffing levels.

 

STRATEGIC FRAMEWORK:

The recommended actions support the Board of Supervisors’ Strategic Framework priority by providing for and maintaining technological infrastructure.

 

OTHER AGENCY INVOLVEMENT:

ALTERNATIVES TO STAFF RECOMMENDATIONS:                     

The Board may choose not to approve the attached end-user license agreement with Absolute Software, Inc. However, this alternative is not recommended as it would severely impact the ability of the County of Humboldt to serve the community during from remote locations.
