RECOMMENDATION(S):Recommendation
That the Board of Supervisors:
1. Approve and authorize the Humboldt County Public Works Director, or a designee thereof, to execute the attached third amendment to the purchase agreement for the real property located at 4325 Broadway Street, Eureka, California Assessor Parcel Number 302-171-039; and
2. Authorize the Humboldt County Public Works Director, or a designee thereof, to execute any and all subsequent amendments to the purchase agreement for the real property located at 4325 Broadway Street, Eureka, California (Assessor Parcel Number 302-171-039), after review and approval by County Counsel, Risk Management and the County Administrative Office; and
3. Direct the Clerk of the Board to provide the Department of Public Works - Real Property with one (1) fully executed certified copy of the Board order related to this item.

DISCUSSION:
On June 9, 2026, the Humboldt County Board of Supervisors authorized the Humboldt County Public Works Director, and designees thereof, to enter into a purchase agreement for the real property located at 4325 Broadway Street, Eureka, California (Assessor Parcel Number 302-171-039).
Escrow closing has been delayed twice due to the contingency set forth in Section 2.1(m) of the purchase agreement not being satisfied contingent to buyers’ obligations. The attached third amendment to the purchase agreement satisfies the requirements of Section 2.1(m) with an indemnification amendment and provides for the closing of escrow on Oct. 29, 2026.
Accordingly, staff recommends that the Board of Supervisors approve and authorize the Humboldt County Public Works Director, or designee thereof, to execute that attached third amendment to the purchase agreement for the real property located at 4325 Broadway Street, Eureka, California (Assessor Parcel Number 302-171-039).

There is no cost associated with the execution of the attached third amendment to the purchase agreement for the real property located at 4325 Broadway Street, Eureka, California (Assessor Parcel Number 302-171-039). Funding has been allocated for the anticipated closing of escrow on Oct. 29, 2026.
The Humboldt County Administrative Office has approved use of the 2020 Finance Plan funds in the amount of $5,750,000 for the purchase of real property located at 4325 Broadway Street, Eureka, California. The funding for the purchase is incorporated into the fiscal year 20206-27 approved Capital Projects budget 3562170.
STAFFING IMPACT:
The attached third amendment to the purchase agreement for the real property located at 4325 Broadway Street, Eureka, California will not impact staffing.
OTHER AGENCY INVOLVEMENT:
None
ALTERNATIVES TO STAFF RECOMMENDATIONS:
The Board may choose not to approve the attached third amendment to the purchase agreement for real property located at 4325 Broadway Street, Eureka, California (Assessor Parcel Number 302-171-039). However, this alternative is not recommended as failure to execute the amendment would prevent escrow from closing on Oct. 29, 2026.
