Recommendation
That the Board of Supervisors:
1. Approve, and authorize the Department of Health and Human Services (DHHS) Director, or a designee thereof, to execute the attached tenth amendment to the professional services agreement with SVT Gruppe, Inc. dated June 28, 2016 regarding the provision of security and secure transportation services in an amount not to exceed $10,875,000 for the period of July 1, 2016 through Aug. 31, 2026; and
2. Authorize the DHHS Director, or a designee thereof, to execute any and all subsequent amendments to the professional services agreement with SVT Gruppe, Inc. dated June 28, 2016, after review and approval by County Counsel, Risk Management and the County Administrative Office; and
3. Direct the Clerk of the Board to electronically provide the DHHS - Contract Unit with one fully executed certified copy of the Board Order related to this item.

DISCUSSION:
The Humboldt County DHHS is responsible for providing security and secure transportation services at various DHHS facilities throughout Humboldt County in order to ensure safe living and working conditions for clients and staff. In order to meet such obligations, DHHS has contracted with qualified security service firms, including, without limitation, SVT Gruppe, Inc., who have historically provided required security and secure transportation services.
On June 28, 2016, the County of Humboldt entered into a professional services agreement with SVT Gruppe, Inc. regarding the provision of security and secure transportation services for the period of July 1, 2016 through June 30, 2018. DHHS subsequently amended the professional services agreement with SVT Gruppe, Inc. dated June 28, 2016 nine times in order to extend the term thereof, adjust the maximum amount payable and expand the scope of security and secure transportation services provided, thereunder and modify the budgetary, and other local, state and federal requirements set forth therein.
The attached tenth amendment to this contract will allow DHHS to continue receiving needed security and secure transportation services until Aug. 31, 2026. As this contract is on its tenth amendment, DHHS in April issued a request for proposals (RFP# DHHS2026-01) for vendors to provide this service. Staff needed to amend and extend this agreement in order to avoid service disruption after the end of the fiscal year (FY). Staff will return to your Board with an item to accept the bidder chosen for that RFP.
Accordingly, DHHS recommends that the Board approve, and authorize the DHHS Director, or a designee thereof, to execute, the attached tenth amendment to the professional services agreement with SVT Gruppe, Inc. dated June 28, 2026 regarding the provision of security and secure transportation services for the period of July 1, 2016, through Aug. 31, 2026. It is also recommended that the Board authorize the DHHS Director, or a designee thereof, to execute any and all subsequent amendments to the professional services agreement with SVT Gruppe, Inc. dated June 28, 2016, after review and approval by County Counsel, Risk Management and the County Administrative Office, in order to avoid any unnecessary delays in the provision of needed security and/or secure transportation services.

Narrative Explanation of Financial Impact:
The attached tenth amendment to the professional services agreement with SVT Gruppe, Inc. dated June 28, 2016 will decrease the maximum amount payable thereunder from $1.5 million to $1.28 million for the period of July 1, 2025 through June 30, 2026 in order to allow for a maximum amount payable of $220,000 for the period of July 1, 2026 through Aug. 30, 2026. In no event shall the maximum amount paid under the professional services agreement with SVT Gruppe Inc. dated June 28, 2016 exceed:
• $450,000 for FY 2016-2017;
• $500,000 for FY 2017-2018;
• $850,000 for FY 2018-2019;
• $975,000 for FY 2019-2020;
• $1.2 million per FY for FYs 2020-2021 through 2022-2023;
• $1.5 million per FY for FYs 2023-2024 through 2024-2025;
• $1.28 million for FY 2025-2026; and
• $220,000 for FY 2026-2027.
However, if local, state or federal funding is reduced or eliminated, the County of Humboldt may reduce the above-referenced maximum amount payable or terminate the professional services agreement with SVT Gruppe, Inc. dated June 28, 2016 in its entirety.
Expenditure appropriations related to the attached tenth amendment have been included in the approved FY 2025-26 budget and the proposed FY 2026-27 budget for various budget units in Behavioral Health Fund 1170 anticipated at $630,000, various budget units in Social Services Fund 1160 anticipated at $825,000, various budget units in Public Health Fund 1175 anticipated at $30,000 and various budget units in Alcohol and Other Drugs Fund 1180 anticipated at $15,000. Funding for the attached tenth amendment is available through local, state and federal revenues received by DHHS.
STAFFING IMPACT:
Approval of the attached tenth amendment to the professional services agreement with SVT Gruppe, Inc. dated June 28, 2016, will not impact current staffing levels.
OTHER AGENCY INVOLVEMENT:
None
ALTERNATIVES TO STAFF RECOMMENDATIONS:
The Board may choose not to approve the attached tenth amendment to the professional services agreement with SVT Gruppe, Inc. dated June 28, 2016 regarding the provision of security and secure transportation services. However, this alternative is not recommended as it will not allow DHHS to meet the security and secure transportation obligations to DHHS clients and staff.
